By creating an account, signing up for an API key, or otherwise accessing the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility & account
You must be at least 18 years old and capable of entering into a binding contract. You agree to provide accurate, current and complete information and to keep your account credentials and API keys confidential. You are responsible for all activity under your account.
2. The Services
BchainPay provides a developer platform for accepting cryptocurrency payments and managing custodial pockets, withdrawals and webhooks. Available networks, supported tokens, fees and limits are described on our website and in the documentation, and may change from time to time.
3. Custodial wallets & pockets
BchainPay operates custodial wallets on your behalf. Confirmed on-chain payments accumulate in per-coin pockets. You retain economic ownership of pocket balances at all times and may instruct withdrawals to addresses you control, subject to applicable law, our security checks and the limits of your plan.
4. Acceptable use
You agree not to use the Services to:
- Violate any applicable law or regulation, including anti-money-laundering (AML), counter-terrorist-financing (CTF) or sanctions laws;
- Process payments for goods or services that are illegal in the merchant's or end-customer's jurisdiction;
- Attempt to bypass rate limits, security controls, or signature checks;
- Reverse-engineer, decompile, or attempt to extract source code, except as expressly permitted by law.
5. Fees
Fees are described on our pricing page. On-chain network (gas) fees are passed through at cost. We may revise fees on 30 days' notice; continued use of the Services after the effective date constitutes acceptance of the revised fees.
6. Compliance, KYC and screening
We may require you (and your beneficial owners and authorized users) to complete identity verification, sanctions screening and source-of- funds checks. We may suspend or terminate accounts, freeze withdrawals, or refuse transactions that we reasonably believe are non-compliant or pose unacceptable risk.
7. Service availability
We target the uptime levels described on our pricing page but do not guarantee uninterrupted Service. Scheduled maintenance, on-chain congestion, and force-majeure events may affect availability.
8. Disclaimers
The Services are provided “as is” and “as available”. To the maximum extent permitted by law, BchainPay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Cryptocurrency values fluctuate and on-chain transactions are irreversible.
9. Limitation of liability
To the maximum extent permitted by law, BchainPay's aggregate liability arising out of or relating to the Services is limited to the greater of (a) the fees you paid to BchainPay in the twelve months preceding the claim, or (b) USD 1,000. In no event will BchainPay be liable for indirect, incidental, special, consequential or punitive damages.
10. Indemnification
You agree to indemnify and hold BchainPay harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or third-party right.
11. Termination
Either party may terminate these Terms at any time. Upon termination we will, subject to applicable law and any pending compliance review, return remaining pocket balances to a withdrawal address you control.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware.
13. Changes
We may update these Terms from time to time. We will post the updated version with a new “Effective” date and, where the changes are material, notify you by email. Continued use after the effective date constitutes acceptance.
